Happ Network Inc. (“Happ,” “we,” “us,” or “our”) knows that you care about how your personal information is used and disclosed, and we take your privacy seriously. Our primary goal is to provide you with exceptional tools and services to manage your creative business, and we understand that you may have questions or concerns regarding your personal information and how it will be used.

To make this Privacy Policy easy to find, we make it available from the home page of the Happ website at www.happ.network (the “Website”) and through our mobile application. You may also email us at legal@happ.network with any privacy-related questions.

1. Applicability of This Privacy Policy

This Privacy Policy applies to all information we collect through our Services from current and former Happ members. “Services” means any products, services, content, features, technologies, or functions, and all related websites, applications, and services offered to you by Happ Network Inc. in connection with a Happ account.

When you are no longer a member, we continue to handle your information as described in this Policy.

Happ is always improving. As the Services evolve, we may occasionally update this Privacy Policy to reflect changes to our business, Services, or applicable laws. If the revised version includes material changes, we will provide you with at least 30 days’ prior notice by posting notice of the change on the “Privacy Policy” page of our Website and mobile app, or by sending you an email notification. The revised Privacy Policy will be effective as of the published effective date.

Throughout this Privacy Policy, we use the term “personal information” to describe information that can be associated with a specific person and can be used to identify that person. We do not consider personal information to include information that has been aggregated and/or anonymized so that it does not identify a specific person.

2. The Information We Collect

When you visit our Website or use our mobile application or other Services, we collect certain information automatically and may collect additional information when you create an account or use specific features.

2.1 Information Collected Automatically

When you access our Services, we automatically collect:

  • Your IP address and standard web log information, such as your browser type and the pages you accessed
  • Device information, including device type, operating system, unique device identifiers, and mobile network information
  • Usage data, including how you interact with the Services, features used, pages viewed, and time spent

2.2 Information You Provide When You Create an Account

If you create a Happ account, we collect the following:

  • Identification Information: Your name, email address, phone number, and date of birth.
  • Professional Information: Your creative discipline, business name (if applicable), portfolio links, professional bio, and skill areas.
  • Account Information: Username, password, profile photo, and account preferences.
  • Device Information: Information from your mobile device or computer such as device type, device identification number, time zone, language setting, browser type, and IP address.
  • Financial Information: When you use payment features, payment-related information processed by our third-party payment providers. Happ does not directly store your bank account numbers, credit card numbers, or routing numbers on our servers.
  • Business Documents: Information contained in proposals, contracts, invoices, and other business documents you create through the platform.
  • Collaborator Information: Contact details and business information about the clients and collaborators you add to your account.
  • Communication Information: Messages and communications you send through the platform, support requests, survey responses, and email correspondence with us.
  • Community Content: Content you post in community features, including profile descriptions, comments, event participation, and member directory information.

2.3 Information from Third Parties

We may also receive information about you from third parties, including:

  • Identity verification services
  • Third-party payment processors (transaction confirmations and status updates)
  • Analytics providers
  • Social media platforms (if you choose to connect your accounts)
  • Other Happ members who add you as a collaborator

2.4 Geolocation Information

With your consent, we may collect information that identifies your location using GPS, Wi-Fi, or cell site triangulation. We use this data for fraud prevention and security purposes. Some features of our Services may request permission to access your device location to enhance your experience. If you do not agree to our collection of geolocation information, certain Services may not function properly. You can control location sharing through your device settings.

3. Information from Children

The Services are not directed to children under the age of 13. We do not knowingly collect personal information from children under the age of 13. If we obtain actual knowledge that we have collected personal information from a child under the age of 13, we will promptly delete it, unless we are legally obligated to retain such data. Contact us at legal@happ.network if you believe that we have mistakenly or unintentionally collected information from a child under the age of 13.

4. How We Use Cookies and Tracking Technologies

When you visit or use our Services, we and certain business partners and vendors may use cookies and other tracking technologies (collectively, “Cookies”). We use Cookies to:

  • Customize Services, content, and your experience

5. How We Protect and Store Personal Information

5.1 Security Measures

We store and process your personal information using third-party servers located in data centers in the United States. This information is protected by physical, electronic, and procedural safeguards in compliance with applicable US federal and state laws and regulations. We also use:

  • Computer safeguards such as firewalls and data encryption (including TLS/SSL for data in transit and encryption at rest)
  • Physical access controls to our offices and files
  • Authorization and access controls limiting personal information access to employees who require it to fulfill their job responsibilities

We strive to ensure the security of our systems. Despite our efforts, we cannot guarantee that personal information may not be accessed, disclosed, altered, or destroyed by a breach of our safeguards. Therefore, we urge you to take adequate precautions to protect your personal information, including never sharing your Happ password with anyone.

If Happ learns of a systems security breach, we may attempt to notify you electronically so you can take appropriate protective steps. We may also post a notice on our Website or mobile application. Depending on where you live, you may have a legal right to receive notice of a security breach in writing. To request written notice of a security breach (or to withdraw your consent from receiving electronic notice), please email us at privacy@happ.co.

5.2 Data Retention

We retain your personal information for as long as needed or permitted in the context of the purpose for which it was collected and consistent with applicable law. The criteria used to determine our retention periods include:

  • Personal information used for the ongoing relationship between you and Happ is stored for the duration of the relationship plus a period of up to 7 years, unless we need to keep it longer
  • Legal obligations or compliance with laws to which we are subject (such as tax and accounting requirements)
  • Litigation, investigations, audit, and compliance practices
  • Protection against legal claims

When personal information is no longer needed, we will securely delete or anonymize it.

6. How We Use the Personal Information We Collect

Our primary purpose in collecting personal information is to provide you with a safe, efficient, and customized experience. We may use your personal information to:

  • Provide and improve the Services: Operate, maintain, and improve the Happ platform, including proposals, contracts, invoicing, payment facilitation, and community features.
  • Process transactions: Facilitate payment processing through our third-party payment providers, send transaction confirmations, and manage billing.
  • Manage your account: Verify your identity, maintain your account, and provide customer support.
  • Personalize your experience: Customize content, features, and recommendations based on your preferences, creative discipline, and usage patterns.
  • Community features: Operate the member directory, facilitate Happenings (community events), and manage badges and membership tiers.
  • Communications: Send you service-related notices, updates, security alerts, and support messages. With your consent, send marketing communications about new features, content, and services.
  • Safety and security: Detect, prevent, and address fraud, unauthorized access, illegal activity, and security issues.
  • Analytics and research: Understand how our Services are used, measure effectiveness, and conduct research to improve our platform.
  • Legal compliance: Comply with applicable laws, regulations, legal processes, and governmental requests.
  • Aggregated insights: Create anonymized, aggregated data (such as community pricing benchmarks) that does not identify you individually, to provide value to the broader Happ community.

7. How We Share Personal Information

Happ does not sell your personal information. We do not share your personal information with third parties for their promotional or marketing purposes.

7.1 Information Visible to Others

Some personal information may be visible to other Happ members or the public, depending on your account settings:

  • Member Directory: If you opt in to the member directory, your name, creative discipline, profile photo, bio, and portfolio links may be visible to other members.
  • Community Features: Content you post in community spaces, event attendance (Happenings), and badge designations (such as Pioneer, Connector, or Mentor) are visible to other members.
  • Collaborator Interactions: When you send a proposal, contract, or invoice to a collaborator, they will see the business information contained in those documents.

You can manage your visibility settings in your account preferences.

7.2 Parties We May Share With

We may share your personal information with:

  • Your Collaborators: When you send proposals, contracts, or invoices, your business contact information and document contents are shared with the recipients.
  • Third-Party Payment Providers: To process payments, we share necessary transaction information with our payment processing partners. Their use of your information is governed by their own privacy policies.
  • Service Providers: Third-party companies that assist us in providing the Services, including cloud hosting, analytics, customer support, email delivery, and security services. These providers are contractually required to use your information only in connection with the services they perform for us.
  • Legal and Safety: Law enforcement, government officials, or other third parties when required by a subpoena, court order, or similar legal procedure; when necessary to comply with law; or when disclosure is reasonably necessary to prevent physical harm, financial loss, or to investigate violations of our Terms & Conditions.
  • Business Transfers: Companies that Happ may merge with, be acquired by, or in the event of any bankruptcy or restructuring. Should such a combination occur, we will require that the new entity follow this Privacy Policy with respect to your personal information. If your personal information could be used contrary to this Policy, you will receive prior notice.
  • With Your Consent: Other third parties when you explicitly consent to or direct such sharing, including when you authorize a connection between your Happ account and a third-party service.

7.3 Account Connections

You may choose to connect your Happ account to third-party accounts or platforms (an “Account Connection”). When you authorize such a connection, Happ and the third party may exchange personal information directly. Examples include connecting your Happ account to a social media account, a cloud storage service, or an accounting platform.

Information that we share with a third party based on an Account Connection will be used and disclosed in accordance with the third party’s privacy practices. Before authorizing an Account Connection, you should review the privacy notice of any third party that will gain access to your personal information.

7.4 What We Never Share

We will never share the following without your express permission:

  • Your bank account numbers, credit card numbers, or other financial account credentials
  • Private contract terms or invoice amounts with anyone other than the parties to those documents
  • Private communications between you and your collaborators

8.1 Access and Update Your Information

8.2 Communication Preferences

You may opt out of marketing communications at any time through your account settings or by following the unsubscribe instructions in our emails. Please note that even if you opt out of marketing communications, we will still send you service-related notices necessary for the operation of your account.

8.3 Account Deletion

You may request deletion of your account by contacting us at legal@happ.network or through your account settings. Upon account deletion:

  • We will delete or anonymize your personal information within a reasonable timeframe
  • Some information may be retained as required by law or for legitimate business purposes (such as fraud prevention and financial record-keeping)
  • Information contained in documents shared with collaborators (proposals, contracts, invoices) may be retained by those collaborators independently
  • Anonymized or aggregated data that does not identify you will not be deleted

8.4 Data Portability

8.5 Rights Under Applicable Law

Depending on your jurisdiction, you may have additional rights regarding your personal information, including the right to:

  • Request deletion of your personal information
  • Object to or restrict certain processing of your personal information

  • Withdraw consent where processing is based on your consent

9. International Data Transfers

Happ is operated by Happ Network Inc., based in New York, United States. Your personal information is primarily stored and processed in the United States. If you are accessing the Services from outside the United States, please be aware that your information may be transferred to, stored, and processed in the United States where our servers are located.

When we transfer personal information across borders, we implement appropriate safeguards in accordance with applicable law, including standard contractual clauses, data processing agreements, and other legally recognized transfer mechanisms.

By using the Services, you consent to the transfer of your information to the United States and other countries where we or our service providers operate.

The Services may contain links to third-party services or websites. Happ does not control the information collection of third-party services or websites that can be reached through such links. We encourage you to review the privacy policies of any third-party service before providing your personal information.

Happ does not engage in the sale of personal data or targeted advertising based on personal data as defined by these state laws.

11.3 New York Privacy

If your Happ account has a New York mailing address, we comply with all applicable New York state privacy laws and regulations, including the New York SHIELD Act regarding data security and breach notification requirements.

12. Information for European Economic Area (EEA) Residents

If you are located in the EEA, UK, or Switzerland, the following additional provisions apply:

12.1 Legal Basis for Processing
